Welcome to the Apomuden Express vendor community. Please read these terms carefully before registering as a vendor on our platform.

1. Introduction

Welcome to Apomuden Express ("Platform," "we," "our," "us"). These Vendor Terms and Conditions ("Agreement") govern your participation as a vendor ("Vendor," "you," "your") on our e-commerce platform, which connects community vendors with customers seeking organic nutrition, health products, wellness items, and community services.

By registering as a vendor, you agree to be bound by these terms. If you do not agree with any part of these terms, you may not register or sell on our platform.

Our Mission: Apomuden Express is dedicated to bringing holistic wellbeing to every doorstep by connecting communities with trusted local vendors. As a vendor, you are an essential part of this mission.

2. Vendor Eligibility

To register as a vendor on Apomuden Express, you must meet the following criteria:

  • Age Requirement: You must be at least 18 years of age or the age of majority in Ghana.
  • Business Entity: You may register as an individual, sole proprietor, registered business, or cooperative.
  • Legal Compliance: You must have all necessary licenses, permits, and registrations required to sell your products or services in Ghana.
  • Product Authenticity: All products must be authentic, safe, and compliant with Ghanaian standards and regulations.
  • Bank Account: You must have a valid bank account in Ghana for receiving payouts.
  • Contact Information: You must provide accurate and verifiable contact information including phone number, email, and physical address.

We reserve the right to verify any information provided and may reject applications that do not meet our criteria.

3. Registration & Account

3.1 Account Creation

To become a vendor, you must complete the registration process, providing accurate and complete information. You will create login credentials that you must keep confidential.

3.2 Account Security

You are responsible for maintaining the security of your account and for all activities that occur under your account. Notify us immediately of any unauthorized use.

3.3 Verification

We may require additional verification documents including:

  • Valid government-issued ID (passport, voter's ID, Ghana Card)
  • Business registration certificate (if applicable)
  • Tax clearance certificate
  • Product source documentation
  • Bank account verification

4. Fees & Commissions

By selling on Apomuden Express, you agree to pay the following fees:

Note: Fees are subject to change with 30 days notice. Any changes will be communicated via email and posted on your vendor dashboard.
Additional Fees:
  • Listing Fee: No listing fee for standard products (free to list)
  • Featured Placement: Optional promotional fees for premium placement (details available in vendor dashboard)
  • Late Shipping Penalty: GHS 10 per day for orders shipped after promised delivery date
  • Return Processing: Vendor bears cost of return shipping for customer-initiated returns due to vendor error

5. Product Listings

5.1 Listing Requirements
  • All products must have clear, accurate titles and descriptions
  • High-quality images showing the actual product (minimum 3 images per product)
  • Accurate pricing in Ghana Cedis (GHS) including all applicable taxes
  • Clear indication of stock availability and variants (size, color, etc.)
  • Disclosure of expiration dates for perishable items
  • For health products: include ingredients, usage instructions, and safety warnings
5.2 Prohibited Claims

Vendors must NOT make false, misleading, or unverified claims about products, especially health-related claims such as:

  • Claiming to cure, treat, or prevent diseases without FDA approval
  • Exaggerating benefits or effectiveness
  • Using fake testimonials or reviews
  • Misrepresenting product origin or ingredients
5.3 Listing Approval

All product listings are subject to review and approval by Apomuden Express. We reserve the right to reject, remove, or modify listings that violate our policies without notice.

6. Order Fulfillment

Processing Time

Orders must be acknowledged within 2 hours and prepared for dispatch within 24 hours of order confirmation.

Packaging

Products must be properly packaged to prevent damage during transit. Perishable items require appropriate temperature control packaging.

Order Accuracy

Verify order details before dispatch. Incorrect items shipped will be at vendor's expense for return and replacement.

Dispatch Notification

Update order status in the system immediately when items are handed over for delivery.

Performance Metrics: Vendors are rated based on:
  • Order processing time
  • Order accuracy rate
  • Customer satisfaction ratings
  • Return/refund rate
  • Response time to customer inquiries

Vendors falling below acceptable metrics may have their accounts suspended or terminated.

7. Payments & Payouts

  • Payout Schedule: Payouts are processed every Monday for orders delivered and confirmed in the previous week (Monday-Sunday).
  • Payout Method: Funds are transferred directly to your registered bank account via mobile money or bank transfer.
  • Minimum Payout: GHS 50 minimum payout threshold. Amounts below this will roll over to the next payout cycle.
  • Holding Period: New vendors have a 14-day holding period for first 3 payouts to ensure transaction verification.
  • Disputes: Payments for disputed orders may be held until resolution.
  • Fee Deductions: All applicable fees and commissions are deducted before payout.
  • Tax Reporting: Vendors are responsible for reporting income to the Ghana Revenue Authority. We may provide transaction summaries upon request.

8. Shipping & Delivery

Delivery Options:
  • Vendor-Managed Delivery: You arrange and cover delivery costs. Delivery confirmation must be uploaded to the platform.
  • Platform-Managed Delivery: Apomuden Express arranges delivery; delivery fees are deducted from your payout.
  • Customer Pickup: Customers may pick up from your physical location during specified hours.
Delivery Requirements:
  • Provide accurate delivery time estimates
  • Update tracking information promptly
  • Ensure safe handover to customer
  • Collect proof of delivery (photo or signature) for orders above GHS 200
  • Notify customers of any delays immediately

9. Returns & Refunds

9.1 Vendor Responsibility

Vendors must accept returns and issue refunds for:

  • Damaged or defective products
  • Wrong items shipped
  • Expired products
  • Items not matching description
  • Customer dissatisfaction (if you offer satisfaction guarantee)
9.2 Return Window

Customers may request returns within 7 days of delivery for most products. Perishable items may have shorter windows.

9.3 Refund Processing

Approved refunds are processed within 3-5 business days. The refund amount includes:

  • Full product cost (excluding delivery fee if customer error)
  • Return shipping costs (if vendor error)
9.4 Return Rate Threshold

Vendors with return rates exceeding 10% over a 30-day period may be subject to account review and potential suspension.

10. Quality Standards

Apomuden Express is committed to customer satisfaction. As a vendor, you agree to maintain the following quality standards:

Product Freshness

All perishable items must have at least 70% of shelf life remaining at delivery

Hygiene Standards

Food and health products must meet FDA hygiene requirements

Authenticity

No counterfeit, imitation, or unauthorized replicas

Customer Service

Respond to customer inquiries within 12 hours

Quality Monitoring: We conduct mystery shopping and quality checks. Vendors failing quality standards may be fined or delisted.

11. Prohibited Items

The following items are strictly prohibited from being sold on Apomuden Express:

  • Illegal drugs and controlled substances
  • Prescription medications without valid license
  • Counterfeit or replica goods
  • Weapons, ammunition, or explosives
  • Alcohol and tobacco products (except licensed vendors in approved categories)
  • Expired products
  • Stolen goods
  • Hazardous materials
  • Pornographic or obscene materials
  • Endangered species products
  • Unauthorized medical devices
  • Items promoting discrimination or violence

Listing prohibited items will result in immediate account termination and possible legal action.

12. Termination

12.1 Termination by Vendor

You may terminate this agreement at any time by:

  • Completing all pending orders
  • Processing all refunds owed
  • Providing 7 days written notice
12.2 Termination by Apomuden Express

We may suspend or terminate your account immediately for:

  • Violation of any terms in this agreement
  • Fraudulent activity or misrepresentation
  • Selling prohibited items
  • Poor performance metrics below minimum standards
  • Multiple customer complaints
  • Legal or regulatory violations
12.3 Effect of Termination

Upon termination:

  • All product listings will be removed
  • Outstanding payouts will be processed after pending orders are resolved
  • You remain liable for any refunds or claims from prior sales
  • You may not re-register without express permission

13. Limitation of Liability

To the maximum extent permitted by law:

  • Apomuden Express acts as a platform connecting vendors and customers and is not a party to the sales transaction between vendor and customer.
  • We are not liable for any products sold by vendors, including product quality, safety, or legality.
  • Our total liability to any vendor shall not exceed the total fees paid by that vendor in the 3 months preceding the claim.
  • We are not liable for indirect, incidental, or consequential damages.
  • We do not guarantee continuous, uninterrupted access to the platform.

Vendors are solely responsible for their products, listings, and compliance with all applicable laws.

14. Dispute Resolution

14.1 Internal Resolution

Any disputes between vendors and customers should first be attempted to be resolved through the platform's internal dispute resolution system.

14.2 Mediation

If internal resolution fails, both parties agree to attempt mediation through a mutually agreed mediator in Ghana before pursuing legal action.

14.3 Governing Law

This agreement shall be governed by the laws of the Republic of Ghana. Any legal actions shall be brought in the courts of Accra, Ghana.

14.4 Dispute Between Vendors

Apomuden Express is not responsible for resolving disputes between vendors.
